Welcome to INDVL - London Content Studio

These Terms of Service govern your use of our website and services. By accessing or using our site, you agree to comply with these terms. If you do not agree, you may not use our services.

1. Services Provided

INDVL provides professional visual content creation services, including but not limited to:

  • Social media content creation – tailored photo and video assets designed for platforms such as Instagram, TikTok, LinkedIn, and YouTube.

  • Branding photography and videography – high-quality imagery and films that showcase a brand’s identity, products, services, and people.

  • Commercial photo and video production – end-to-end production for campaigns, events, promotions, and ongoing marketing needs.

  • Creative direction – concept development, content planning, storyboarding, and guidance throughout the production process to ensure cohesive and impactful results.

These services may be provided as one-off projects, ongoing monthly content packages, or bespoke campaigns depending on the client’s requirements. All deliverables are created based on the agreed project scope outlined in your contract.

2. User Responsibilities

You agree to:

  • Provide complete, accurate, and timely information needed for the planning and delivery of your project, including brand details, visual references, access instructions, scheduling information, and any other materials requested.

  • Ensure you have the legal rights and permissions to share any content, locations, branding assets, or materials supplied to INDVL for use in your project.

  • Respond to communication, feedback requests, and approval stages within a reasonable timeframe to avoid delays in production or delivery.

  • Maintain the confidentiality of your account credentials and remain responsible for all actions taken under your account.

  • Notify us promptly of any security concerns or unauthorised access related to your account.

  • Use the delivered content only in accordance with the licence and usage rights outlined in these Terms of Service or your project agreement.

Failure to provide required information, materials, or approvals in a timely manner may result in delays or additional charges

3. Payments

One-Off Projects:

A non-refundable deposit of 50% of the total project fee is required to secure your project date. The remaining 50% balance is due upon delivery of the final content, unless otherwise specified in your agreement.

Ongoing or Retainer Packages:

For ongoing monthly content creation or retainer agreements, the first month’s payment is due upfront to commence work. Subsequent monthly payments are due on the agreed-upon date each month.

All payments must be made according to the terms outlined in your contract. Late payments may result in project delays, suspension of work, or additional fees. All fees are non-refundable unless expressly stated in your agreement

4. Intellectual Property & Usage Rights

Ownership:

All content created by INDVL, including photography, videography, social media content, and creative direction materials, remains the intellectual property of INDVL unless otherwise agreed in writing.


Usage Rights:

Upon full payment, clients are granted a non-exclusive, non-transferable licence to use the delivered content for the purposes outlined in the project agreement (e.g., social media, marketing, website, or promotional use). Any other use, resale, or sublicensing of the content without prior written consent from INDVL is prohibited.


Credit and Attribution:

INDVL may request appropriate credit when content is publicly displayed, shared, or published, unless otherwise agreed in writing.


Third-Party Materials:

Clients are responsible for ensuring that any materials, assets, or content provided to INDVL (e.g., logos, stock images, music) do not infringe on the rights of third parties. INDVL is not liable for any legal issues arising from the use of third-party materials supplied by the client

5. Cancelletion and Rescheduling

Cancellation by Client:

You may cancel your project at any time by providing written notice. Deposits are non-refundable. If the project is cancelled after work has commenced, you may be responsible for additional fees covering time, resources, and any non-recoverable expenses incurred up to the cancellation date.

Rescheduling:

If you need to reschedule a project, please provide as much notice as possible. INDVL will make reasonable efforts to accommodate your new date, subject to availability. Any rescheduling may require adjustment of fees or additional charges if extra resources are required.

Cancellation or Rescheduling by INDVL:

In the unlikely event that INDVL must cancel or reschedule a project, you will be notified promptly and given the option to select a new date. Any deposit paid will either be applied to the rescheduled project or refunded in full, at your discretion

6. Limitation of Liability

INDVL shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the delivered content. Total liability for any claim related to the project, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the client for that specific project.


Indemnification:

You agree to indemnify, defend, and hold INDVL and its employees, contractors, and affiliates harmless from any claims, damages, losses, liabilities, or expenses (including legal fees) arising out of or related to:


  • Your breach of these Terms of Service or any agreement;

  • Your use of the content outside the agreed-upon licence;

  • Any materials provided by you that infringe the rights of third parties


These Terms of Service and any project agreements shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales

7. Termination

We reserve the right to terminate services if the client breaches these terms. Outstanding fees remain payable upon termination.

8. Amendments

INDVL reserves the right to update or modify these Terms of Service at any time. Clients will be notified of any material changes, and continued use of our services constitutes acceptance of the updated terms.

Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement:

These Terms of Service, together with any signed project agreements or contracts, constitute the entire agreement between the client and INDVL regarding the services provided and supersede all prior understandings, communications, or agreements, whether written or oral.

Waiver:

Failure by INDVL to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce it in the future
